Shareholder and Business Litigation

Kreher & Trapani LLP represents shareholders and businesses in complex cases involving securities fraud, the rights of minority shareholders, disputes arising from mergers or asset purchases and other complex business disputes.

Significant shareholder and business litigation representations include:

  • Acted as co-counsel to the class representatives in a federal securities fraud class action that resulted in the largest private insider-trading-related class action settlement in U.S. history.
  • Obtained summary judgment for a minority shareholder who was wrongfully terminated and forced out of the company.
  • Convinced a court to dismiss claims that a commercial mortgage broker fraudulently induced a borrower to agree to a loan and obtained a summary affirmance of that dismissal on appeal.
  • Currently represent a medical services company in litigation over an earnout allegedly due under an asset purchase agreement.
  • Obtained a favorable settlement for a consultant asserting breach-of-contract and fraud claims against a business that failed to pay the compensation it had promised.
  • In a case of first impression, convinced a court to reject the defendant’s argument that an individual who helped negotiate a significant contract for space at a data center was required to have a real estate license under Pennsylvania law. The case ultimately resulted in a favorable settlement.
  • Obtained a favorable settlement for investors who were duped by false statements into investing in a closely held business.
